Workshop Terms & Conditions
Thank you for choosing me as your coach. It is an honor to be your coach and I look forward to working with you.
Please review the contract terms below. Completing the registration of your program/event is your acknowledgement of the following terms and conditions.
1. Services:
The services of this engagement are for the specified service type and date(s) you choose at the associated rate.
2. The Coaching Framework and Client Responsibility:
❖ The relationship between a coach and client is co-creative, meaning that we are equals and both have an active role. Together we create more power for you to effect meaningful change and take dynamic actions towards your goals.
❖ I understand that Denise Krumlian is not a therapist or counselor. She is a coach using honed communication skills to support her clients. Clients are responsible for all of their own decisions, actions, and feelings. Denise’s service provide personal coaching to specific individuals and/or groups. The Client is aware that coaching is in no way to be construed or substituted as psychological counseling or any other type of therapy or medical advice.
3. Client Role:
❖ Make our coaching sessions/ events a priority.
❖. For events, please arrive on time, cameras on whenever possible, and actively participate.
❖ To make the most out of each session, come prepared with an agenda and clear take-away of what you would like to accomplish.
❖ Give me feedback in the moment about your coaching experience: what works, as well as what does not. This is critical to get the most out of our co-creative relationship.
❖ Be open to changing beliefs and behaviors if they do not serve you anymore.
❖ Take time between sessions to reflect on our discussion, move forward with your actions and use what you learn.
4. Coach Role:
❖ I will listen closely to you, respond to what I hear and ask questions. If I hear something in your voice or language that sparks an intuitive thought, I’m likely to ask you about it. Often, it is the small moments that bring about BIG shifts. If I'm not on target, just tell me. I am not attached to an outcome.
❖ At the end of the session, if you do not mention what actions you are ready to take, I will make a coach request. I ask clients to stretch themselves, deepen the work done in the sessions by writing, taking some action, resolving relationships or things that feel incomplete. You are free to negotiate, accept or decline any request. The purpose of the requests is to keep you moving towards your goals.
5. Payment:
❖ Payment is due at time of registering for the event/ agreement signing.
6. Refunds/ Terminations of Agreements:
Coach commits to maintaining availability and reserving time to support Client’s coaching engagement, which affects scheduling availability for other clients.
❖ Client Cancellation After Coaching Has Begun
· If Client chooses to discontinue participation in a coaching program after it has commenced, Client agrees to provide one (1) week written notice.
· If the Client discontinues participation for reasons other than a breakdown in the Coach–Client relationship, fees already paid are non-refundable. Client may use any remaining sessions within twelve (12) months of the original agreement date, subject to scheduling availability.
❖ Breakdown in the Coach–Client Relationship
· In the unlikely event that either party believes a breakdown in the coaching relationship has occurred, Client and Coach agree to first schedule a conversation to discuss the situation in good faith.
· If no resolution is reached, either party may terminate the Agreement with written notice.
· Client agrees to pay only for coaching services rendered through the effective termination date, and Coach will refund any prepaid fees for unused sessions on a prorated basis.
❖ Coach Cancellation
If Coach is unable to deliver a portion of the services as agreed and reasonable rescheduling cannot be arranged, Client will receive a refund for the unused portion of the services.
❖ Pre-Program Refunds (N/A for 1-hour events)
Refunds requested in writing prior to the first coaching session in the program will be issued in full, less a $75 administrative fee.
❖ Session Expiration
All unused sessions expire twelve (12) months after the initial payment date unless otherwise agreed in writing.
7. Protection of Services and Intellectual Property
❖ You shall not reproduce, copy, sell, trade, resell or exploit any aspect of the Services, Intellectual Property or any associated materials provided by me for any commercial purpose.
❖ All intellectual property and other proprietary rights in materials provided in connection with the Services, are owned by me or my Licensors. These rights include without limitation copyright and any rights in designs.
❖ You shall not acquire any rights in such materials without my explicit permission and approval.
❖ You shall not use such material for any commercial purpose or carry out any action inconsistent with my ownership.
❖ If you become aware of any actual or threatened infringement by any person of the intellectual property and proprietary rights of materials, you agree to inform me at once in writing.
8. Confidentiality & Non-disparagement
❖ Except to the extent that any information is required to be disclosed by law or pursuant to legal process, as the Coach, Denise Krumlian shall keep confidential all information relating to the Client and their business unless agreed to in writing.
❖ Neither party shall use such information for any purpose other than that for which it was provided.
❖ Each party agrees not to engage in any conduct or communications, public or private, intended, or likely to disparage the other or damage their interests.
9. ICF Credentialing, Recording, and Disclosure Consent
❖ The Client consents to disclosure of their name, contact information, and coaching start and end dates to the International Coach Federation (ICF) solely for credentialing or audit purposes.
❖ Coaching sessions may be recorded only with the Client’s verbal consent at the time of recording and unless otherwise specified during the session/event, solely for ICF credentialing, supervision, or evaluation. Consent may be revoked in writing at any time.
10. Release of Liability
❖ The Coach will exercise reasonable professional skill and care in providing coaching services. The Client acknowledges that coaching is a collaborative, non-clinical process and that the Client is solely responsible for their own decisions, actions, and results.
❖ To the fullest extent permitted by Massachusetts law, the Coach shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising out of or related to this Agreement or the coaching services. The Coach’s total aggregate liability under this Agreement shall not exceed the total fees actually paid by the Client to the Coach for all coaching services rendered through and including the termination date of this Agreement.
❖ The Coach shall not be liable for any actions or omissions taken by the Client or the Client’s employees or agents as a result of the coaching services. Coaching does not constitute medical, psychological, or clinical counseling, and no assumption of responsibility for Client outcomes is made.
❖ From time to time, the Coach may provide references or links to third-party resources for informational purposes only. Such references do not constitute an endorsement, and the Coach shall have no liability arising from the Client’s use of or reliance on such materials.
